AKVA group ASA enters into agreement to acquire Egersund Net AS
AKVA, Egersund Group and Egersund Net have signed a transaction agreement (the «Agreement«) under which AKVA, subject to the terms and conditions of the Agreement, shall acquire 100% of all 500 issued and outstanding shares in Egersund Net (the «EN Shares«) from Egersund Group. The Transaction is expected to be completed on or about 31 August 2018.
Prior to completion of the Transaction, Egersund Group owns 100% of the EN Shares. Further, Egersund Group owns 13,203,105 shares in AKVA, representing approximately 51.1% of the share capital of AKVA. Upon completion of the Transaction, Egersund Group’s shareholding in AKVA will increase to approximately 62.11% of the share capital of AKVA.
The consideration payable by AKVA to Egersund Group for the EN Shares is based on an enterprise value of Egersund Net of NOK$ 742,256,000 (US$ 90,673,992), and with customary net debt- and working capital adjustments to reach the equity value.

AKVA group ASA, Egersund Group AS y Egersund Net AS firmaron este jueves 28 de junio un acuerdo según el cual AKVA, sujeto a los términos y condiciones de la transacción, adquirirá el 100% de las 500 acciones emitidas y en circulación de Egersund Net. Se espera que la transacción se complete antes de septiembre de 2018.
Actualmente, Egersund Group posee el 100% de los títulos de Egersund Net. A su vez, Egersund Group posee 13,2 millones de acciones en AKVA, lo que representa aproximadamente al 51,1% del capital social de AKVA. Y una vez completado el negocio, la participación del Grupo Egersund en AKVA aumentará a cerca del 62,11% del capital de la compañía.
El pago considerado por AKVA a Egersund Group por las acciones de Egersund Net es con base en un valor empresarial de esta última por NOK$742,2 millones (US$90,6 millones al tipo de cambio actual), y con ajustes habituales de deuda neta y capital circulante para alcanzar el valor patrimonial.
